2. DEFINITIONS

• "Customer Data" means metadata, cost information, custom tags, and usage statistics you generate while using our Services.

• "User" or "you" means the individual or entity that has registered for and uses our Services.
• "Usage Metadata" means non-sensitive information about your AI service usage, including token counts, model names, timestamps, costs, and custom tags.

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you meet this age requirement.

If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. ACCOUNT REGISTRATION AND SECURITY

To access our Services, you must create an account by providing accurate, complete, and current information, including:

5. DESCRIPTION OF SERVICES

5.1 Core Services

tknops provides an AI token cost management solution that enables you to:

• Track and monitor token usage across multiple AI service providers
• Analyze costs associated with AI model usage
• Create custom tags and labels to organize spending
• Generate cost reports and analytics
• Set budget alerts and spending limits
• Manage team access and permissions
• View historical usage trends and forecasts

5.2 What We Do NOT Store

Important: Our service is designed with privacy as a core principle. We explicitly do not collect, store, or process:

• Your API keys or authentication credentials for AI services
• Prompts or inputs you send to AI models
• Responses or outputs from AI models
• Any proprietary or custom data contained in your AI interactions

We only collect and process usage metadata necessary for cost tracking and analytics.

5.3 Service Modifications

We reserve the right to:

• Modify, suspend, or discontinue any aspect of our Services at any time
• Update features, functionality, and pricing
• Impose usage limits or restrictions

We will provide reasonable notice of material changes that adversely affect your use of the Services.

6. SUBSCRIPTION PLANS AND PRICING

6.1 Subscription Tiers

6.2 Billing Cycle

6.7 Overdue Payments

• You are responsible for all costs of collection, including reasonable attorney's fees

7. YOUR RESPONSIBILITIES AND ACCEPTABLE USE

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use our Services to transmit harmful, illegal, or offensive content

7.2 API Integration Compliance

When integrating your AI service accounts with our platform, you agree to:

• Use only your own authorized API credentials
• Comply with all terms of service of third-party AI providers
• Not use our Services to violate third-party AI provider policies
• Ensure you have necessary rights and permissions for tracked usage

7.3 Data Accuracy

You are responsible for the accuracy of any custom tags, labels, or metadata you create within our Services.

7.4 Security Obligations

You must:

• Implement reasonable security measures to protect your account
• Promptly report any security vulnerabilities you discover
• Not attempt to circumvent security features or access controls
• Cooperate with our security investigations

8. INTELLECTUAL PROPERTY RIGHTS

8.1 Our Intellectual Property

The Services, including all software, technology, designs, trademarks, logos, and content, are owned by tknops or our licensors and are protected by Indian and international intellectual property laws. All rights not expressly granted to you are reserved.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services in accordance with these Terms. This license does not include any rights to:

• Modify, copy, or create derivative works
• Distribute, sell, lease, or sublicense
• Reverse engineer or decompile
• Use for any commercial purpose outside the scope of these Terms

8.3 Your Content

You retain all ownership rights to your Customer Data. By using our Services, you grant us a limited license to:

• Process and store your usage metadata
• Display and analyze your cost data within the platform
• Use aggregated, anonymized data for service improvement and analytics

This license terminates when you delete your data or terminate your account, subject to our data retention policies.

If you provide us with any suggestions, ideas, or feedback about our Services, we may use such feedback without any obligation to you.

8.5 Trademark Usage

You may not use our trademarks, logos, or brand elements without our prior written consent.

9. THIRD-PARTY SERVICES AND INTEGRATIONS

• The availability, performance, or reliability of third-party AI services

• Complying with third-party terms of service
• Managing your API usage and associated costs

WE MAKE NO WARRANTIES OR REPRESENTATIONS REGARDING THIRD-PARTY AI SERVICES, INCLUDING THEIR AVAILABILITY, ACCURACY, PRICING, OR FUNCTIONALITY.

12.4 Data Accuracy Disclaimer

While we strive for accuracy in cost tracking and reporting, we do not warrant that all usage data or cost calculations will be 100% accurate. You should verify important information independently.

13. LIMITATION OF LIABILITY

13.1 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW, IN NO EVENT SHALL TKNOPS, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR:

Indirect Damages:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Cost of substitute services
• Business interruption or loss of goodwill

Even if we have been advised of the possibility of such damages.

13.2 Cap on Liability

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE GREATER OF:

• The total fees paid by you to us in the 12 months preceding the claim, OR
• INR 10,000 (Ten Thousand Indian Rupees)

13.3 Exceptions

The limitations in this section do not apply to:

• Our gross negligence or willful misconduct
• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Liabilities that cannot be limited under applicable law

13.4 Basis of Bargain

You acknowledge that the fees charged reflect the allocation of risk set forth in these Terms and that we would not enter into this agreement without these limitations.

14. INDEMNIFICATION

14.1 Your Indemnification

You agree to indemnify, defend, and hold harmless tknops, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of our Services
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your violation of any third-party rights
• Your Customer Data or use of third-party AI services
• Any content or data you submit through our Services
• Disputes between you and other users

14.2 Procedure

We will:

• Promptly notify you of any claim subject to indemnification
• Cooperate with you in the defense of such claim
• Reserve the right to participate in the defense with our own counsel at our expense

You may not settle any claim without our prior written consent if the settlement imposes any obligation or liability on us.

15. CONFIDENTIALITY

15.1 Confidential Information

"Confidential Information" means non-public information disclosed by either party that is designated as confidential or would reasonably be considered confidential.

15.2 Obligations

Each party agrees to:

• Maintain the confidentiality of the other party's Confidential Information
• Use Confidential Information only for purposes of these Terms
• Not disclose Confidential Information to third parties without consent
• Protect Confidential Information with at least the same degree of care as its own confidential information

15.3 Exceptions

Confidential Information does not include information that:

• Is or becomes publicly available through no fault of the receiving party
• Was rightfully possessed before disclosure
• Is independently developed without use of Confidential Information
• Is rightfully obtained from a third party without restriction

15.4 Required Disclosure

If required by law to disclose Confidential Information, the receiving party will:

• Provide prompt notice to the disclosing party
• Cooperate in efforts to obtain protective orders
• Disclose only the minimum information required

16. TERM AND TERMINATION

16.1 Term

These Terms commence when you first access our Services and continue until terminated in accordance with this section.

16.2 Termination by You

You may terminate your account at any time by:

• Canceling your subscription through account settings
• Contacting our support team
• Providing written notice to midhun@tknops.io

Termination takes effect at the end of your current billing period unless you request immediate termination.

16.3 Termination by Us

We may suspend or terminate your account immediately if:

• You breach these Terms
• You fail to pay fees when due (after 15 days' notice)
• Your account remains inactive for more than 12 months
• We discontinue the Services (with 30 days' notice)
• We reasonably believe termination is necessary to prevent harm or liability
• Required by law or regulatory authority

16.4 Effect of Termination

Upon termination:

• Your right to access and use our Services immediately ceases
• You remain responsible for all fees incurred prior to termination
• We may delete your account data in accordance with our data retention policy
• Sections that by their nature should survive will continue in effect

16.5 Data Export

Before termination, you may export your usage data through our platform. We are not responsible for data not exported before termination.

16.6 No Refunds

Except as required by law, we do not provide refunds for partial subscription periods or early termination.

17. DISPUTE RESOLUTION

17.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at midhun@tknops.io to attempt to resolve the matter informally. We will attempt to resolve disputes within 30 days.

17.2 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

17.3 Jurisdiction and Venue

Subject to the arbitration provision below, you agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts located in Mangaluru, India, and you consent to the personal jurisdiction of such courts.

17.4 Limitation Period

Any claim arising out of or relating to these Terms or our Services must be filed within one (1) year after the claim arose, otherwise the claim is permanently barred.

18. GENERAL PROVISIONS

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and tknops regarding the Services and supersede all prior agreements and understandings.

18.2 Amendments

We may modify these Terms at any time by:

• Posting the updated Terms on our website
• Sending notice to your registered email address
• Providing in-platform notifications

Material changes will be effective 30 days after notice. Continued use of our Services after changes constitutes acceptance. If you do not agree to changes, you must discontinue use and terminate your account.

18.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

18.4 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative.

18.5 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

18.6 Relationship of Parties

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and tknops. You have no authority to bind us or make commitments on our behalf.

18.7 Force Majeure

We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor disputes, government actions, or internet/telecommunications failures.

18.8 Export Compliance

You agree to comply with all applicable export and import laws and regulations. You may not use our Services in any country subject to trade sanctions or embargoes.

18.9 Language

These Terms are prepared in English. Any translation is provided for convenience only. In case of conflict, the English version prevails.

Section headings are for convenience only and do not affect interpretation.

You consent to receive communications from us electronically, including via email or through our platform. Electronic communications satisfy any legal requirement for written communication.

19. COMPLIANCE WITH INDIAN LAWS

19.1 Information Technology Act

Our Services comply with the Information Technology Act, 2000, and applicable rules and regulations.

19.2 GST Compliance

All applicable Goods and Services Tax (GST) will be charged in accordance with Indian tax laws. Tax invoices will be provided as required.

19.3 Consumer Protection

If you are a consumer under the Consumer Protection Act, 2019, nothing in these Terms limits your statutory rights.

19.4 Grievance Officer

As required by Indian law, we have appointed a Grievance Officer to address your concerns:
